Agreement and Eligibility
These Terms and Conditions ("Terms") govern your access to and use of the Orion Paper website, platform, software, application environment, APIs, mobile applications, data tools, AI features, subscription features, and related services (collectively, the "Services"), operated by Rugged I/O LLC ("we", "us"). By accessing the Services, creating an account, using the application environment, or purchasing a subscription, you agree to these Terms, the Privacy Policy, the Regulatory & Risk Disclosures, and any other policy incorporated by reference. If you do not agree, do not access or use the Services.
The Services are available only to residents of the United States. You must be at least 18 years old, legally able to enter a binding contract, and permitted to use the Services under the laws that apply to you. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity.
Platform License and Intellectual Property
The Services, including the application environment, software, source and object code, algorithms, models, prompts, interfaces, workflows, visual designs, databases, trademarks, logos, trade secrets, data compilations, documentation, and related technology, are owned by Orion Paper or its licensors and are protected by intellectual property and proprietary rights laws.
Subject to your compliance with these Terms, Orion Paper grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal personal or business purposes as intended by Orion Paper.
No ownership rights are transferred to you. All rights not expressly granted are reserved by Orion Paper and its licensors. Unauthorized access, copying, scraping, extraction, circumvention, or competitive use may cause irreparable harm, and Orion Paper may seek injunctive, equitable, technical, and legal remedies without posting bond where permitted by law.
You may not:
- Reverse engineer, decompile, disassemble, decrypt, or attempt to derive source code, algorithms, prompts, model logic, or trade secrets.
- Copy, modify, sell, lease, sublicense, distribute, frame, mirror, scrape, or commercially exploit any part of the Services.
- Use robots, crawlers, scrapers, automated collection tools, or data mining methods without prior written permission.
- Bypass security controls, authentication, rate limits, access controls, usage limits, or other protective measures.
- Share credentials, access tokens, API keys, sessions, or paid access with unauthorized third parties.
- Introduce malware, interfere with service integrity, overload infrastructure, or test security without written authorization.
- Use the Services to build, train, benchmark, or validate a competing product or service without written permission.
- Remove, alter, or obscure copyright, trademark, attribution, or legal notices.
Accounts and Security
You agree to provide accurate, current, and complete account information and to keep it updated. You are responsible for safeguarding your username, password, multi-factor authentication methods, connected brokerage credentials, API keys, and all activity under your account. Notify Orion Paper immediately at support@ruggedx.ai if you suspect unauthorized access or credential compromise.
You may not access or use the Services if you are subject to applicable sanctions, located in an embargoed jurisdiction, barred from receiving the Services under applicable law, or using the Services for prohibited export, sanctions, market abuse, fraud, money laundering, or unlawful activity.
Subscriptions, Billing, and Taxes
Some Services require paid subscriptions or one-time purchases. By purchasing a paid feature, you authorize Orion Paper and its payment processors to charge your selected payment method for applicable fees, renewals, and taxes. Subscriptions renew automatically unless cancelled before the renewal date through your account settings or another method provided by Orion Paper.
Algorithmic trading fees. Algorithmic trading requires a monthly access subscription (currently $5.00/month) that renews automatically and keeps a payment method on file. In addition, while your subscription is active, Orion Paper charges the following fees for each calendar month, billed off-session to your payment method on file on or about the first day of the following month:
- Platform fee: 0.5% of your connected brokerage account equity, measured at the time of billing. It applies whether or not your account was profitable that month.
- Performance fee: 12% of the net realized profit on options contracts opened by Orion Paper's algorithms and closed during that month, including contracts that expired. Open positions and manually created contracts are excluded. If that net realized profit is zero or negative, no performance fee is charged.
You authorize these recurring charges when you complete billing setup. Fees are billed only for accounts whose subscription is active on the billing date, and each charge is itemized in your account and by email receipt. Individually agreed rates may replace the standard rates above. These fees are separate from, and in addition to, any commissions, per-contract fees, spreads, regulatory and exchange fees, exercise or assignment fees, or other costs charged by your broker, which Orion Paper does not collect or control.
Orion Paper may change plans, pricing, features, limits, or billing periods with reasonable notice where required. If you do not accept a pricing or plan change, your remedy is to cancel before the change takes effect.
You consent to receive notices, disclosures, invoices, receipts, security alerts, policy updates, and other communications electronically through the Services, email, or account notices. Electronic communications satisfy any legal requirement that a communication be in writing, except where applicable law requires another method.
Refund and Chargeback Policy
Except where required by applicable law or expressly stated in writing by Orion Paper, all purchases, subscription payments, renewal charges, and fees are final and non-refundable.
- No prorated refunds: Cancelling a subscription stops future renewals but does not create a refund, credit, or prorated adjustment for the current billing period.
- Access after cancellation: Unless your account is terminated for cause, access generally continues until the end of the paid billing period.
- Termination for breach: If your access is suspended or terminated because you violated these Terms, remaining paid time may be forfeited.
- Billing disputes: Contact support@ruggedx.ai before initiating a chargeback so we can investigate. Improper chargebacks may result in account suspension and recovery of fees, costs, and amounts owed where permitted by law.

Trading and investing involve substantial risk, including possible loss of principal. You are solely responsible for independent research, risk management, suitability determinations, order review, tax consequences, and all trading or investment decisions.
The Regulatory & Risk Disclosures are incorporated into these Terms by reference. If there is a conflict between a general statement in the Services and these Terms or the Regulatory & Risk Disclosures, the risk-limiting and liability-limiting language controls to the fullest extent permitted by law.
Third-Party Services and Brokerage Connections
The Services may integrate with third-party services such as brokerages, market data providers, payment processors, analytics tools, cloud providers, identity providers, and notification services. Third-party services are governed by their own terms and policies. Orion Paper is not responsible for third-party outages, execution failures, data delays, inaccurate quotes, rejected orders, brokerage restrictions, fees, margin calls, account actions, or losses caused by third-party systems.
User Content and Feedback
You retain ownership of content, data, feedback, comments, files, prompts, or other materials you submit ("User Content"). You grant Orion Paper a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, display, reproduce, modify, and use User Content as needed to operate, secure, support, improve, and provide the Services. You represent that you have all rights necessary to submit User Content and that it does not violate law or third-party rights.
If you submit ideas, suggestions, requests, or feedback, you grant Orion Paper a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation. Do not submit confidential information unless a separate written agreement signed by Orion Paper expressly covers that disclosure.
Copyright complaints (DMCA). We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). Send notices to our designated copyright agent: Rugged I/O LLC, Attn: Copyright Agent, support@ruggedx.ai. A notice must include: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and where it appears in the Services; (d) your name, address, telephone number, and email address; (e) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
If your content is removed in response to a notice, you may send a counter-notice to the same agent that meets the requirements of 17 U.S.C. § 512(g)(3). We may restore the material unless the complaining party notifies us that it has filed a court action. We terminate, in appropriate circumstances, the accounts of users who are repeat infringers.
Suspension, Termination, and Service Changes
Orion Paper may modify, suspend, restrict, or discontinue any part of the Services at any time. We may suspend or terminate access if we believe you violated these Terms, created risk, failed to pay amounts owed, infringed rights, abused the platform, or used the Services unlawfully. Upon termination, your license to use the Services ends immediately.

TO THE FULLEST EXTENT PERMITTED BY LAW, Orion Paper AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; TRADING LOSSES; MARKET LOSSES; LOST PROFITS; LOST REVENUE; LOST DATA; LOST OPPORTUNITIES; BUSINESS INTERRUPTION; REPUTATIONAL HARM; SYSTEM DOWNTIME; MODEL ERRORS; DATA FEED DELAYS; OR DAMAGES ARISING FROM USE OF OR INABILITY TO USE THE SERVICES.
IF Orion Paper IS FOUND LIABLE DESPITE THE ABOVE LIMITATIONS, ITS TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE LESSER OF (A) AMOUNTS YOU PAID TO Orion Paper FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow certain warranty disclaimers, liability limitations, or damage exclusions. In those jurisdictions, the disclaimers, exclusions, and limitations apply to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Orion Paper and its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from your use or misuse of the Services, trading activity, User Content, violation of these Terms, violation of law, or infringement of third-party rights.
Disputes, Class Action Waiver, and Governing Law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law rules. To the extent a dispute is permitted to proceed in court, it will be brought exclusively in the state or federal courts located in Georgia, and you consent to personal jurisdiction and venue there.
To the fullest extent permitted by law, disputes must be brought only on an individual basis. You waive the right to participate as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative proceeding, and you waive the right to a jury trial.
Changes, Severability, and Entire Agreement
We may update these Terms by posting a revised version on this page or otherwise providing notice. When we make material changes, we will ask you to review and accept them the next time you use the Services. Continued use of the Services after changes become effective means you accept the revised Terms. If any provision is unenforceable, the remaining provisions remain in effect. These Terms, the Privacy Policy, and any incorporated policies are the entire agreement between you and Orion Paper for the Services.
